1. Agreement to Terms

By accessing or using VelocitySpy ("the Service"), operated by VelocitySpy ("we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not use our Service.

2. Description of Service

VelocitySpy is a software-as-a-service (SaaS) application that provides TikTok product research and analytics. The Service monitors organic, publicly available TikTok video data to measure view velocity and help users identify trending e-commerce products. VelocitySpy does not scrape the TikTok Ad Library or monitor paid advertisements.

3. Accounts and Registration

To use the Service, you must create an account by providing a valid email address and password. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must be at least 18 years old to use the Service.

You agree to provide accurate and complete information when creating your account and to keep this information up to date. We reserve the right to suspend or terminate accounts that contain inaccurate information.

4. Subscription Plans and Billing

VelocitySpy offers paid subscription plans. Details of available plans, including features and pricing, are displayed on our website and within the application.

• Paid Subscriptions: Access to the Service requires a paid subscription. You are charged immediately upon subscribing. Subscriptions are billed monthly or annually depending on the plan selected.
• Automatic Renewal: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
• Price Changes: We reserve the right to change subscription pricing with at least 30 days' notice. Existing subscribers will be notified before any price changes take effect on their next renewal.

5. Payment Processing

All payments are processed securely through our authorized payment provider, Paddle.com Market Limited ("Paddle"), who acts as the Merchant of Record for all transactions. Paddle handles all payment processing, currency conversion, and tax compliance on behalf of VelocitySpy.

By making a purchase, you agree to Paddle's Terms of Service and Privacy Policy. We do not store, process, or have access to your full payment card details.

6. Cancellation

You may cancel your subscription at any time from the Billing page within the application. Upon cancellation:

• Your subscription remains active until the end of the current billing period.
• You will not be charged for subsequent billing periods.
• No partial refunds are issued for the remaining time in the current billing period.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Use automated scripts, bots, or crawlers to access the Service beyond normal usage.
• Resell, redistribute, or sublicense access to the Service without our written consent.
• Share account credentials with third parties or allow multiple users to access a single account.
• Interfere with or disrupt the integrity or performance of the Service.

We reserve the right to suspend or terminate your access if we determine, at our sole discretion, that you have violated these terms.

8. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, software, and the underlying technology — are owned by VelocitySpy and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without our express written permission.

9. Data and Analytics

The data, analytics, and insights provided by VelocitySpy are for informational purposes only. We do not guarantee the accuracy, completeness, or timeliness of any data. You acknowledge that product research involves inherent uncertainty and that VelocitySpy does not guarantee commercial success based on the information provided.

10. Limitation of Liability

To the maximum extent permitted by applicable law, VelocitySpy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the Service.

Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the total amount you paid to us during the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which VelocitySpy operates, without regard to conflict of law principles.
